Terms of Use

1. Scope and Acceptance

These Terms of Use (“Terms”) govern your access to and use of the IDEMIA Development Portal (the “Portal”), including both its public and private sections. By accessing or using the Portal, you agree to be bound by these Terms. If you do not agree, you must immediately end such access or use of the Portal. If you are using the Portal on behalf of an organization, you hereby confirm that you are authorized to accept these Terms on its behalf.

2. Purpose of the Portal

The Portal provides information and technical resources to partners, prospects and other authorized users to support their evaluation and integration of IDEMIA solutions. It includes: A public / generally available section: general information (e.g. service descriptions, sample use cases, mockups); A private section (restricted access): confidential and proprietary information such as, without limitation, integration resources including SDKs, APIs, architectural documentation, technical specifications and sample code. IDEMIA reserves the right to modify, suspend or discontinue any aspect of the Portal at any time without notice.

3. Access Control and Credentials

Access to the private section of the Portal is subject to prior authorization by IDEMIA. You must keep your credentials confidential and not share them with any third party. These credentials are, unless otherwise agreed with IDEMIA, personal to you and should not be shared with anyone else, including colleagues from the same organization.
You are responsible for all activities carried out under your credentials. If you suspect any unauthorized use, you must notify IDEMIA immediately.

4. Use Restrictions

You shall not and shall not permit any other person to:

  • use the Portal or its content for any unlawful purpose or in violation of applicable laws;
  • copy, reproduce, modify, correct, adapt enhance distribute or publicly display any part of the Portal except as expressly permitted;
  • attempt to gain unauthorized access to any part of the Portal;
  • reverse-engineer, decompile or disassemble any SDK or software made available via the Portal;
  • use the Portal in connection with the development or transmission of any virus or malicious code;
  • remove or alter any proprietary notices or disclaimers.

5. Intellectual Property

All content provided on the Portal (text, graphics, APIs, SDKs, documents, code etc.) is owned or licensed by IDEMIA and protected by intellectual property laws. Access to the Portal does not grant you, or your organization, any rights or licenses, except as explicitly stated herein or in a valid contract entered into by your organization and IDEMIA. Where sample code or SDKs are provided, your rights to use them are (i) strictly limited to the purposes of integration and evaluation, and (ii) subject to additional license terms as specified.

6. Confidentiality

Generally speaking, the content made available in the private section of the Portal must be considered confidential and proprietary. You therefore agree to:

  • use such content solely for the purpose of evaluating or integrating IDEMIA solutions;
  • not disclose such content to third parties without prior written consent from IDEMIA;
  • implement reasonable security measures to prevent unauthorized access and protect such content.

7. Disclaimers

The Portal and its content are provided “as is”. Neither IDEMIA or its affiliated companies makes no warranties, express or implied, regarding the Portal’s availability, accuracy, completeness or suitability for a particular purpose. To the fullest extent permitted by law, IDEMIA shall not be liable for any direct, indirect, incidental or consequential damages resulting from your use of the Portal or reliance on its content.

8. Termination

IDEMIA may suspend or terminate your access to the Portal at any time, without notice and for any reason.

9. Governing Law and Jurisdiction

These Terms shall be governed in accordance with the laws of France, without giving effect to its conflicts of law principles. If the dispute cannot be settled during such a mediation process, any action shall exclusively be brought before the applicable courts of France.

10. Changes to the Terms

IDEMIA may update these Terms at any time. Continued use of the Portal after such updates constitutes acceptance of the revised Terms.
